1. Introduction and Acceptance
These Platform Terms and Conditions (“Agreement”) constitute a legally binding agreement between you and Propera Ltd (company number 15528542) (“PROPERA.AI”, “we”, “us”, “our”) governing your use of the PROPERA.AI platform, marketplace, and associated services (“Platform”).
By registering an account, subscribing to any plan, or using any feature of the Platform, you agree to be bound by this Agreement. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Definitions
- “Platform” means the PROPERA.AI web-based and mobile ecosystem, including all listings, CRM, marketplace, and AI-powered tools.
- “User” means any individual or organisation that accesses or uses the Platform.
- “Agent User” means a professional estate agent, letting agent, or property management company using the Platform commercially.
- “Listing” means any property, commercial space, or workspace advertisement published on the Platform.
- “Marketplace Services” means mortgage, insurance, legal, and ancillary professional services accessible via the Platform.
- “AI Tools” means artificial intelligence features including listing creation, staging, valuation assistance, and marketing automation.
- “MyAgency CRM” means the proprietary customer relationship management system available within the Platform.
3. Account Registration
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Platform. By registering, you confirm that all information provided is accurate and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.
3.3 Business Accounts
Agent Users and business accounts must provide accurate business information including company registration details, regulatory authorisations, and professional memberships where applicable.
4. Subscription Plans and Payment
4.1 Plans
Access to the Platform is available under the following subscription tiers: Starter (free, 1 listing), Growth, Professional, Agency, and Unlimited. Full details of each plan, including listing limits and feature access, are set out in our current pricing schedule.
4.2 Payment Terms
Subscription fees are payable in advance on a monthly or annual basis. We reserve the right to vary subscription fees with 30 days’ notice. Continued use of the Platform following notice of a price change constitutes acceptance of the new fee.
4.3 Refunds
Subscription fees are non-refundable except where required by law. If you cancel a subscription, access will continue until the end of the paid period.
5. Property Listings
5.1 Listing Requirements
All Listings must be accurate, complete, and not misleading. Listings must comply with the Property Ombudsman Code of Practice, the Advertising Standards Authority guidelines, and all applicable consumer protection laws.
5.2 Listing Responsibility
You are solely responsible for the content of your Listings. We do not verify Listings and accept no liability for inaccurate, incomplete, or misleading Listing content.
5.3 Listing Removal
We reserve the right to remove any Listing that breaches these Terms, our Listing Policy, or applicable law, without notice and without liability.
6. AI Tools — Usage and Disclaimers
AI-generated content including property descriptions, valuations, marketing copy, and virtual staging images is provided for convenience only. Such content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before publication or reliance.
AI valuations are indicative estimates only and do not constitute a professional RICS-compliant valuation. They must not be used as the sole basis for any financial, legal, or investment decision.
7. Marketplace Services
Marketplace Services including mortgage, insurance, and legal referrals are provided by independent third-party partners. We act as an introducer only and do not provide regulated financial or legal advice. We may receive referral fees or commissions for introductions made through the Platform.
Any regulated activities such as mortgage advice are provided by FCA-authorised firms. Please verify the regulatory status of any partner before proceeding.
8. MyAgency CRM
Use of MyAgency CRM is subject to the MyAgency CRM Terms, incorporated into this Agreement by reference. You are responsible for ensuring your use of the CRM complies with UK GDPR and the Data Protection Act 2018, including in respect of personal data of your contacts and leads.
9. Intellectual Property
All intellectual property rights in the Platform, including software, design, databases, AI models, and content created by Propera Ltd, are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during the term of your subscription.
10. Data Protection
We process personal data in accordance with our Privacy Policy and UK GDPR. Where you upload personal data relating to third parties (including tenants, buyers, or leads) to the Platform, you remain the data controller and we act as your data processor. Our Data Processing Agreement governs these arrangements.
11. Prohibited Conduct
You must not use the Platform to:
- Publish false, misleading, or fraudulent property information;
- Engage in money laundering, fraud, or any criminal activity;
- Circumvent subscription limits or attempt to access features not included in your plan;
- Scrape, copy, or extract Platform data without our written consent;
- Infringe the intellectual property rights of any third party;
- Harass, abuse, or harm any other user.
12. Suspension and Termination
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Platform ceases immediately. You may terminate your subscription at any time via your account settings.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Propera Ltd’s total liability to you for any claim arising under or in connection with this Agreement shall not exceed the total subscription fees paid by you in the three months preceding the claim.
We shall not be liable for: loss of profits, loss of business, loss of data, or any indirect or consequential loss, whether arising in contract, tort, or otherwise.
14. Governing Law and Disputes
This Agreement is governed by English law. Any dispute shall be referred first to our formal Complaints Procedure. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force. This Agreement constitutes the entire agreement between you and us relating to the Platform and supersedes all prior agreements.
